Board of Directors

Ramgen has been fortunate to have assembled an experienced Board of Directors that has proven itself capable of making critical decisions in a timely manner. The Board is headed by Chairman Shawn Lawlor, the original founder of the Company, and includes Doug Jewett, Ramgen's CEO and Peter Baldwin, Ramgen's President. It also includes the following outside members:

Dr. Randall L-W. Caudill
Randall L-W. Caudill has served as a member of the Company's Board of Directors since June 1998. From January 1997 to date, Dr. Caudill has served as President of Dunsford Hill Capital Partners, a financial consulting firm serving early stage technology and healthcare companies.

Prior to forming Dunsford Hill, Dr. Caudill was employed by Prudential Securities, a full-service investment bank, for approximately ten years. Dr. Caudill established and headed Prudential Securities' San Francisco investment banking practice in 1993, prior to which he served the firm as Head of the Mergers and Acquisitions Department and Co-Head of the Investment Bank. Dr. Caudill served on most of Prudential Securities' key committees including the firm's Operating Council, Business Review Committee, and Equity Development Committee. Dr. Caudill also served on the PB Interfunding Investment Committee, which controlled the successful investment of more than $850 million of the firm's merchant banking capital. He also supervised the investment of the Prudential Securities partners' capital as a director of PB Capital Partners I and II.

Prior to joining Prudential Securities, Dr. Caudill was Executive Director and Co-Head of Mergers and Acquisitions at Morgan Grenfell, Inc. where he worked from 1982 to 1987. Previously, Dr. Caudill headed the international Mergers and Acquisitions effort for The First Boston Corporation. Dr. Caudill currently serves on the boards of VaxGen Inc. (Chairman), Ramgen Power Systems, Inc., SCOLR Inc., MediQuest Therapeutics, Inc. and Helix BioMedix Inc.

Dr. Caudill received his MPPM from Yale University, and his D.Phil. from Oxford University, where he was a Rhodes Scholar and teaching fellow.

William C. Burkett
William C. Burkett has served as a member of the Company’s Board of Directors since June 1998. Since November 1988, he has been the President of Burkett & Company, Inc., providing consulting services to revitalize under-performing companies and make venture capital and leveraged buyout investments with both his own capital and that of his partners.

Mr. Burkett is also the co-founder and Executive Vice Chairman of Resource Partners Plc., a specialty finance company operating in the United Kingdom. Mr. Burkett is also Chairman of Evans Consoles Corporation (Canada) the world leader in the manufacture of control room console furnishings. Mr. Burkett is Chairman of the Board of Devon Publishing Group, the world’s largest art publisher. In addition, since June 1990, Mr. Burkett has served as Special Advisor to the President of Takata Corporation, a $3 billion sales automotive safety systems supplier. Mr. Burkett has served in several capacities with Takata Corporation including President and Director of Takata Fabrication Corporation, Executive Vice-President and Director of Takata Inc., and Executive Vice-Chairman and Director of European Components Company, Ltd.

From 1983 to 1988, Mr. Burkett served as a Senior Engagement Manager at McKinsey & Company, Inc., an international management-consulting firm. From 1978 to 1981 Mr. Burkett served as an Associate in the Mergers & Acquisition Group of The First Boston Corporation and Credit Suisse First Boston Ltd.

Mr. Burkett holds a B.A. from Stanford University and an M.B.A. from Yale University.
